Commercial Terms

1. Contract structure and precedence

If you have an executed order form, MSA, or other signed agreement with us, that agreement controls to the extent of any conflict with this page.

2. Service and access

ZephMatrix provides role-based AI teammates, orchestration, and integrations as configured in your workspace. Features, limits, and support levels depend on your selected plan or order form.

3. Customer responsibilities

• Maintain lawful instructions and content.
• Manage user access, approvals, and connected tool permissions.
• Review AI outputs before operational or regulated use.

4. Data processing and security

We process data to provide and secure the service, as described in our Privacy Policy. For managed cloud, our current processors are listed on Subprocessors. DPA support is available on request.

5. Fees, renewals, and taxes

Fees are billed as stated in your checkout flow or order form. Unless otherwise agreed, paid subscriptions auto-renew for successive billing periods. You are responsible for applicable taxes. Where a merchant-of-record checkout provider is used, that provider acts as merchant of record for payment processing.

6. Cancellation policy

You may request cancellation according to your plan/order terms. Cancellation prevents future renewals and does not reverse charges already incurred in the current committed period unless otherwise agreed in writing.

7. Refund policy

For self-serve subscriptions, refund requests are accepted within 14 calendar days of the initial charge date or the most recent renewal charge date. Requests after 14 calendar days are not eligible for refund. For contract-based enterprise purchases, refund terms are defined in your signed order form. See our Cancellation & Refund Policy.

8. Acceptable use and restrictions

You may not use the service for unlawful activity, abuse, unauthorized access attempts, or actions that compromise security or platform integrity.

9. Intellectual property

We retain ownership of the service and underlying platform IP. Each party retains ownership of its own data, content, and trademarks.

10. Confidentiality

Each party must protect the other party's non-public information and use it only for permitted contract purposes.

11. Warranties, disclaimers, and liability

Except as expressly agreed in writing, the service is provided on an "as is" and "as available" basis. Liability is limited to the maximum extent permitted by law and your governing commercial agreement.

12. Term, suspension, and termination

These terms apply while your organization uses the service. We may suspend for security, abuse, or legal reasons. Termination rights and post-termination obligations follow your order form or applicable plan terms.
